Terms of Use
Last updated 22 October 2026
1. About these terms
These terms are an agreement between you and Nate AI("we", "us") for the use of Nate AI. "You" means the person who creates the account and, where the account is for an organisation, that organisation. By creating an account or using Nate AI you accept these terms and our Privacy Notice.
2. The service
Nate AI is a software tool that assists auditors and fraud examiners. It analyses the data and documents you provide, plans and performs tests, records field work you carry out, and drafts reports. Its outputs are working drafts to support your professional judgement. They are not legal advice, an assurance opinion or a finding of guilt. You decide what to rely on, and you are responsible for any conclusion or report you issue.
3. Your account
- Give accurate information and keep your sign-in details safe. You are responsible for activity on your account.
- During the pilot, accounts are by invitation only.
- Tell us promptly if you believe someone has used your account without permission.
4. Pilot credit and fees
Pilot users may receive free credit. When it is used up, work pauses until more credit is added. After the pilot, Nate AI is paid for in advance from a prepaid balance topped up by M-Pesa, at the prices shown in the app. Charges reflect the AI processing each engagement uses. Credit that has been used is not refundable, except where the law requires.
5. Your data and your responsibilities
The data and documents you upload, and the field work you record ("Customer Data"), remain yours. Customer Data often includes personal data about other people, such as employees, suppliers and customers of the organisation you audit or investigate. You are responsible for that data, and you confirm that:
- you have the right and authority to upload the Customer Data and to have it processed as described in these terms;
- you have a lawful basis for processing it, and you have given any notice and obtained any consent that the law requires, including under the Data Protection Act, 2019 of Kenya;
- your use of Nate AI complies with your professional, contractual and confidentiality obligations to your clients or employer; and
- you upload only the data the engagement needs.
6. How Customer Data is processed
We process Customer Data only to provide Nate AI to you and as you instruct by using it. To do so we use service providers, which currently include: Anthropic, PBC (United States), which provides the AI models that analyse Customer Data; Supabase (database and sign-in); our server host; and Safaricom (M-Pesa payments). Customer Data may therefore be processed and stored outside Kenya. By uploading Customer Data you instruct and authorise this processing and transfer, and you confirm that you are entitled to give that instruction. We may change service providers; the current list is kept in the Privacy Notice.
7. Confidentiality and security
We keep Customer Data confidential and use reasonable technical and organisational measures to protect it. No system is completely secure, and we cannot guarantee that unauthorised access will never occur. We will tell you without undue delay if we become aware of a breach affecting your Customer Data.
8. Acceptable use
- Do not use Nate AI for anything unlawful, or to target or harass any person.
- Do not try to break, probe or get around its security, or to access other users' data.
- Do not resell or share access to Nate AI without our written agreement.
9. Intellectual property
The Nate AI software and brand belong to us. The reports and outputs produced for your engagements are yours to use. You give us the rights we need to process Customer Data to provide the service.
10. No warranty
Nate AI is provided "as is". AI can make mistakes: review every output before you rely on it. To the extent the law allows, we give no warranty that Nate AI will be error-free, uninterrupted or fit for a particular purpose.
11. Limitation of liability
To the extent the law allows, we are not liable for any indirect or consequential loss, or for loss of profit, business, data or reputation. Our total liability to you for all claims is limited to the fees you paid us in the three months before the claim arose, or KES 10,000 if you paid nothing.
12. Indemnity
You will compensate us for any claim, loss, fine or cost arising from Customer Data you upload or from your use of Nate AI in breach of these terms or of the law, including data protection law.
13. Suspension, ending and your data
You may stop using Nate AI at any time. We may suspend or close an account that breaches these terms. You may delete an engagement at any time, and when an account closes we delete its Customer Data within 30 days, except where the law requires us to keep it. Backups are overwritten on a rolling basis.
14. Changes
We may update these terms. We will show the new date at the top of this page and, for significant changes, tell you in the app. Continuing to use Nate AI after a change means you accept it.
15. Law
These terms are governed by the laws of Kenya, and the courts of Kenya have jurisdiction.
